Board Directors are accountable to exercise the powers and discharge the duties of their office honestly and in good faith. Directors shall exercise the degree of care, diligence, and skill that a reasonably prudent person would exercise in comparable circumstances.
The purpose of Governance is that the Board, on behalf of the members, ensures accountability of the ASPKLNH by assuring that it achieves its mission.
Attend and participate at Board meetings and at the Annual General Meeting
Come to meetings prepared to listen, question, debate under Roberts Rules of Order Newly Revised.
Be prepared to act in the best interest of the Society, not just for a special interest, geographical segment or individual cause.
Once a vote is taken and a decision is reached, act as a spokesperson on behalf of the Board to explain and defend the Board’s position.
Stay informed about issues related to Alzheimer’s disease and related dementia, their treatment(s) and management support efforts to enhance the Board’s effectiveness.
Participate in the work of committees and other planned events.
Participate in Board Orientation and Strategic Planning sessions.
Work toward the achievement of ASPKLNH’s mission and strategic goals.
Fiduciary and Legal Duties:
Comply with and formulate the by-laws and board policy according to the laws of the Province of Ontario.
Avoid situations of conflict of interest or personal gain.
Operate in the best interests of the Society.
Select from among the Directors, the Officers of the Corporation.
Nominate Auditors and Counsel.
Employ Executive Director.
Regularly monitor and when necessary invest funds received for use toward furtherance of the mission of ASPKLNH.
Monitor expenditures of the Corporation.
Approve annual budget to support operation.
Set standards of accountability.
Accountability of the Executive Director:
The ED is the Board’s link to operational achievement and conduct.
All Board authority delegated to staff is delegated through the ED.
The Board will evaluate the ED performance based on job performance relative to the job description, policy compliance and the organizational accomplishments of the Society’s Strategic Plan.
Liaise with the Community to Promote Improved Dementia Care:
Convey a positive image of ASPKLNH through contacts, promotion, committee and advocacy work.
Ensure local representation at Alzheimer Society of Ontario board related meetings and on board related issues.
Promote local advocacy for improved dementia care.
-Visit the client home once per week for a brief walk.
-Establish a safe travel route appropriate to the individual's capabilities.
-Monitor the travel terrain for risk of falls etc. and offer appropriate guidance as required.
-Create an enjoyable activity through friendly conversation.
-Ensure safe return to the client home.
*Specialized training is provided to ensure that volunteers feel well prepared to offer this valued support.
*Will consider volunteers under age 18, depending on motivation and commitment.
-Recent workplace experience with current references is required, along with telephone skills, attention to detail and willingness to learn new office equipment.
